By creating an account, accessing, or using the Factumo service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms, and your acceptance constitutes the organization's acceptance of these terms.
If you do not agree with these terms, you must not use the Service and should cancel your account immediately.
Factumo provides a cloud-based invoice management platform designed for businesses operating in Spain, including:
The Service is provided "as is" and we reserve the right to modify, enhance, or discontinue features with at least 30 days' prior notice to affected users.
You must be at least 18 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of a business, that business must be duly registered and authorized to operate.
You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.
Factumo offers a 14-day free trial period for new users. To start a trial, you must provide a valid credit card. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to the selected paid plan, and your credit card will be charged.
You may cancel your trial at any time from your account settings. If you cancel during the trial, you will not be charged, and your access will continue until the end of the 14-day trial period.

All prices are stated in Euros (EUR) and include Spanish VAT (IVA) where applicable.
We reserve the right to modify our pricing with at least 30 days' notice. Price changes will not affect your current billing period but will apply to subsequent renewal periods. If you do not agree to a price increase, you may cancel your subscription before the new price takes effect.
Payments are processed securely through Stripe. By providing payment information, you authorize us to charge the payment method provided for your selected subscription plan.
Subscriptions automatically renew at the end of each billing period (monthly or yearly) unless you cancel before the renewal date. You will be charged automatically using your payment method on file.
If a payment fails, we will attempt to process the payment again. If payment cannot be processed after multiple attempts, your account may be suspended, and you may lose access to the Service until payment is resolved.
You will receive an invoice for each payment via email. Invoices are also available in your account billing section.
You are responsible for paying all applicable taxes. Spanish VAT (IVA) will be added to your invoice unless you provide a valid VAT number from another EU member state (reverse charge applies for B2B transactions within the EU).
In accordance with EU Directive 2011/83/EU and Spanish Consumer Law, consumers have the right to withdraw from a contract within 14 calendar days without giving any reason.
The withdrawal period expires 14 days from the date of contract conclusion. To exercise your right of withdrawal, you must inform us of your decision by sending a clear statement to contact@factumo.com.
If you requested that the Service begin during the withdrawal period, you shall pay an amount proportionate to the services provided up until you communicated your withdrawal.
You may cancel your subscription at any time from your account billing settings. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the period you have paid for.
Trial Period: No refunds are needed for the trial period as no charges are made during the 14-day trial. You may cancel at any time during the trial without charge.
Monthly Subscriptions: No refunds are provided for partial months.
Annual Subscriptions: If you cancel an annual subscription within the first 30 days, you may request a pro-rata refund for the unused portion. After 30 days, no refunds will be provided, but you will retain access until the end of your paid period.
You may downgrade your subscription at any time. The downgrade will take effect at the end of your current billing period. No refunds are provided for downgrades.
You retain all ownership rights to the data you upload, create, or store in the Service, including invoices, estimates, client information, and company settings ("User Content").
You grant us a limited, non-exclusive, royalty-free license to host, store, and process your User Content solely for the purpose of providing and improving the Service.
In compliance with Spanish tax law, all financial documents (invoices, credit notes, estimates) and audit logs are retained for a minimum of 7 years. You may export your data at any time.
After account closure, we will retain your financial records for the legally required period (7 years for Spanish tax compliance). Other data may be deleted after a 30-day grace period, except where retention is required by law.
You may export your data at any time in standard formats (PDF, CSV, JSON). Please contact support if you need assistance exporting your data.

The Service, including all software, designs, graphics, text, and other content (excluding User Content), is owned by ELD Technologies SL and is protected by Spanish and international copyright, trademark, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your business purposes.
"Factumo" and associated logos are trademarks of ELD Technologies SL. You may not use these trademarks without our prior written consent.
If you provide feedback, suggestions, or ideas about the Service, you grant us an unlimited, irrevocable license to use such feedback without compensation.
We strive to provide a reliable service with minimal downtime. However, we do not guarantee uninterrupted access to the Service. Maintenance, updates, and unforeseen technical issues may cause temporary interruptions.
Enterprise plan customers are covered by a 99.9% uptime Service Level Agreement (SLA). Details of the SLA, including compensation for downtime, are provided separately in the Enterprise Agreement.
We will provide reasonable notice for scheduled maintenance. Emergency maintenance may be performed without prior notice.
All subscription plans include email support during business hours (Monday-Friday, 9:00-18:00 CET, excluding Spanish public holidays) and 24/7 AI-powered support agents. Support levels vary by plan:
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by Spanish law, ELD Technologies SL shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service.
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.
Nothing in these Terms shall limit or exclude our liability for fraud, gross negligence, death or personal injury caused by our negligence, or any other liability that cannot be limited or excluded under Spanish law. If you are a consumer, statutory consumer rights under Spanish and EU law are not affected by these limitations.
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or strikes.
You agree to indemnify, defend, and hold harmless ELD Technologies SL, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

Upon termination, your access to the Service will cease immediately. We will retain your financial records for the legally required period (7 years). Other data may be deleted after a grace period, except where required by law.
Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.
Your privacy is important to us. Our processing of personal data is governed by our Privacy Policy, which complies with the General Data Protection Regulation (GDPR) and Spanish data protection law (Ley Orgánica 3/2018, de Protección de Datos Personales y garantía de los derechos digitales).

These Terms of Service shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions.
Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Málaga, except where otherwise required by mandatory consumer protection law.
If you are a consumer residing in the European Union, you may also bring proceedings in the courts of the member state in which you reside, and nothing in these Terms affects your rights under mandatory consumer protection laws.
In the event of a dispute, we encourage you to first contact us at legal@factumo.com to seek an informal resolution.
Before initiating litigation, parties agree to attempt mediation through a mutually acceptable mediator. Each party shall bear its own costs for mediation.

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will notify you by:
Material changes will take effect 30 days after notice is provided. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cancel your account before the effective date.
For non-material changes (such as clarifications or minor corrections), changes will take effect immediately upon posting.
These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and ELD Technologies SL regarding the Service and supersede all prior agreements.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including to any successor or acquiring entity.
These Terms are drafted in English. In the event of a conflict between the English version and any translation, the English version shall prevail, except where prohibited by law.
